1. Agreement to Terms

By accessing or using Genrify ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Account Registration

2.1 Account Creation

When you create an account with us, you must provide:

• Accurate, complete, and current information
• A valid email address
• A secure password

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Enabling multi-factor authentication (recommended)

2.3 Account Restrictions

You may not:

• Share your account with others
• Create multiple accounts to circumvent restrictions
• Use another person's account without permission
• Sell, transfer, or sublicense your account

3. Subscription and Billing

3.1 Subscription Plans

Genrify offers multiple subscription tiers:

• Basic: Essential features for small businesses
• Pro: Advanced features and higher limits
• Enterprise: Custom solutions for large organizations

3.2 Free Trial

We offer a 14-day free trial for new users. No credit card required during trial. Trial limitations:

• One trial per user (tracked by email, phone, device fingerprint)
• Full access to Pro features during trial period
• Automatic downgrade to free tier after trial expires (if no payment method added)

3.3 Billing

Subscriptions are billed monthly or annually in advance. By subscribing, you authorize us to charge your payment method on a recurring basis.

• Payments are processed via Stripe, PayPal, or Coinbase Commerce
• All fees are non-refundable except as required by law
• Prices may change with 30 days notice
• Failed payments may result in service suspension

3.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access until the period ends.

5. Service Availability

5.1 Uptime Commitment

We strive to maintain 99.9% uptime for paid plans. This excludes:

• Scheduled maintenance (announced 48 hours in advance)
• Third-party service outages (Telegram, WhatsApp, Meta, etc.)
• Force majeure events
• Issues caused by user actions

5.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice. We will not be liable for any modification, suspension, or discontinuation.

5.3 Third-Party Dependencies

Genrify integrates with third-party platforms. We are not responsible for changes, outages, or policy violations by these platforms that affect your use of the Service.

6. Intellectual Property

6.1 Our Rights

The Service and its original content, features, and functionality are owned by Genrify and are protected by:

• Copyright, trademark, and other intellectual property laws
• International treaties and conventions

6.2 Your Rights

You retain all rights to your content (messages, files, data). By using the Service, you grant us a limited license to:

• Store and process your content to provide the Service
• Use AI to generate responses (when enabled)
• Create backups for data protection

We do not claim ownership of your content and will not use it for purposes beyond providing the Service.

6.3 Feedback

If you provide feedback, suggestions, or ideas, you grant us the right to use them without compensation or attribution.

7. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy.

7.1 Data Processing

By using the Service, you consent to:

• Processing of your messages and data to provide the Service
• AI analysis of conversations (when AI features are enabled)
• Storage of data on secure servers (Supabase, Vercel)

7.2 Data Retention

We retain your data as long as your account is active. After account deletion, data is retained for 30 days for recovery, then permanently deleted (except as required by law).

7.3 Data Export

You can export your data at any time from your account settings in a portable format.

8. Limitation of Liability

To the maximum extent permitted by law, Genrify shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Actions or content of third parties (including connected platforms)
• Unauthorized access to your account due to your negligence

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Warranties Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability, fitness for a particular purpose, or non-infringement
• Uninterrupted, secure, or error-free operation
• Accuracy, reliability, or completeness of content
• Correction of defects or errors

10. Indemnification

You agree to indemnify, defend, and hold harmless Genrify and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or activities on the platform

11. Termination

11.1 By You

You may terminate your account at any time by deleting it from your account settings or contacting support.

11.2 By Us

We may suspend or terminate your account immediately, without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Abuse of the Service
• At our sole discretion for any reason

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your data according to our retention policy. Provisions that should survive termination will remain in effect.

12. Governing Law and Disputes

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Genrify is registered, without regard to conflict of law provisions.

12.2 Dispute Resolution

In the event of a dispute, you agree to:

• First attempt to resolve the dispute informally by contacting us
• Participate in good faith negotiations for 30 days
• Submit to binding arbitration if informal resolution fails

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via:

• Email notification
• In-app notification
• Notice on our website

Your continued use of the Service after changes constitutes acceptance of the new Terms. If you disagree with the changes, you must stop using the Service and delete your account.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Genrify.

14.2 Severability

If any provision is found to be unenforceable, the remaining provisions will remain in full effect.

14.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.
